TERMS AND CONDITIONS FOR PLANT PERKS REWARD PROGRAM
Plant Perks Rewards Program ("Program") is a rewards program owned and operated by Kate Farms, Inc. ("Kate Farms"). By participating in this Program, you agree to be bound by the following terms and conditions (the "Program Terms and Conditions" or these "terms").
1. MEMBERSHIP & ELIGIBILITY.
The Program is only for Kate Farms customers located in the United States. Membership to the Program ("Membership") is limited to individuals only and is limited to one account per individual. Institutions, corporate entities, hospitals, health systems, health care professionals (or those working on behalf of one), employees of Kate Farms, any Program service provider or any of its or their subsidiaries, affiliates, or promotional agencies, including immediate family and household members are not eligible for Membership and may be excluded from certain promotions. You must be 18 years or older and a resident of the United States to be eligible for Membership. Kate Farms reserves the right to request proof of eligibility at any time. By registering for Membership in the Program, you agree to be bound by the Program Terms and Conditions and Kate Farms' Privacy Policy and Terms of Use, which can be found at katefarms.com, and to comply with all applicable federal, state and local laws and regulations. NO PURCHASE IS NECESSARY TO BECOME A MEMBER. The Program is void where prohibited by law. The Program may be subject to change, alteration, or termination by Kate Farms in its sole discretion at any time without notice. Any change to the Program or these Program Terms and Conditions will be posted on the katefarms.com website.
2. DESCRIPTION OF THE PROGRAM.
Under the Program, for eligible qualified activities or qualified purchases, you receive Plant Perks credits ("Credits") equal to $0.10 for every U.S. dollar spent on merchandise purchased on katefarms.com, excluding the purchase of gift cards, products reimbursed by private or public insurance, taxes, shipping, and all other fees or charges, prior purchases, or where otherwise prohibited by law. Other restrictions may apply. Only purchases made online at katefarms.com or completion of qualified activities are eligible for Credits. Kate Farms purchases made at retail or other location(s) do not qualify, and Credits are not earned on these purchases. You must be logged in to your katefarms.com account to have any Credits deposited to your Program account. You may only order merchandise on katefarms.com (whether with U.S. dollars, Credits, or a combination thereof) for your personal use and not for resale or redistribution. Credits are deposited once an order has been approved for payment. Credits are non-transferrable. Credits may only be redeemed on future purchases, including both one-time purchases and subscription orders.
Credits can be redeemed in any amount during checkout, up to the full available Credits balance in your account. However, Credits are never redeemable for cash, have no cash value, and cannot be used towards the purchase of katefarms.com gift cards. Credits are applied to orders as a gift card code that is automatically generated and applied at checkout. Eligible active Credit balances will be updated and available on approximately a daily basis. Once Credits have been redeemed on an order, Credits cannot be converted back into Credits, even if a valid return is made. Credits redeemed for purchases will not apply towards shipping costs, if applicable. Kate Farms is not responsible for lost Credits, including due to change of email address or other contact information.
Members may enable automatic Credits redemption on subscription orders through their account settings. When enabled, available Credits will be automatically applied to subscription renewal orders. This feature is disabled by default and must be manually enabled by the member. If automatic redemption is enabled and your available Credits exceeds your subscription order total, the remaining Credits will stay in your account for future use.
3. EARNING CREDITS THROUGH REFERRALS.
Members may earn additional Credits by referring friends to Kate Farms. When a referred friend makes their first purchase using your unique referral link, you may receive up-to $50 in Credits, and your friend may receive up-to 30% off their first order. There is currently no limit on the number of referrals a member can make. Referral Credits are subject to verification and may be delayed or denied if Kate Farms determines, in its sole discretion, that the referral was fraudulent, violated these terms, or was otherwise improper.
4. EXPIRATION.
Credits earned will typically expire 12 months after the date Credits were earned. If your account is closed due to extended inactivity, all Credits will be forfeited. If you pause or cancel your subscription, your Credits will expire 12 months after the Credits were earned. Credits deposited as part of another promotion may have a different expiration length and will be unique to that particular promotion, as determined in Kate Farms' sole discretion. You are not required to redeem Credits during checkout.
5. PROMOTIONAL OFFERS.
At the discretion of Kate Farms, members may receive promotional offers or other incentives, in the form of bonus Credits. These may automatically deposit into a member's account and may have different expiration rules. Kate Farms may also offer limited-time promotions such as double Credits days, social media giveaways, or other special events to earn additional Credits. Offers are subject to change, alteration, or termination by Kate Farms in its sole discretion at any time without notice.
6. PROGRAM MIGRATION AND MAINTENANCE.
Kate Farms periodically updates and improves the Program, including the technology platform that powers it. During such updates, the Program may be temporarily unavailable for maintenance. When transitioning between platforms, Kate Farms will automatically convert and transfer your existing reward balances to the new system. Members will be notified of significant Program changes or platform migrations via email.
7. AGREEING TO KATE FARMS' PRIVACY POLICY, TERMS OF USE & EMAIL COMMUNICATIONS.
Kate Farms values your privacy. By registering for Membership in the Program, you agree to be bound by Kate Farms' Privacy Policy and Terms of Use at www.katefarms.com, which apply to this Program. By creating an account with the Program, you agree to receive advertising, marketing materials and other communications from Kate Farms and you will automatically be subscribed to receive Program emails. If you do not wish to receive these communications, you can unsubscribe from Program emails by clicking the unsubscribe link in the email.
8. CHANGES, TERMINATION AND/OR REMOVAL FROM PROGRAM.
Kate Farms may, in its sole discretion, alter, limit, or modify the Program rules, regulations, benefits, eligibility for Membership, or any other feature of the Program (including assigning any of its obligations under the Program at any time to another person or entity, without recourse) and may terminate the Program at any time, in its sole discretion, by posting any such changes on the katefarms.com website. Kate Farms reserves the right to exclude individuals from the Program in its sole discretion. Any abuse of the Program, failure to follow any terms of the Program, any misrepresentation, or any conduct detrimental to the interests of Kate Farms may subject members to Membership revocation and will affect eligibility for further participation in the Program. Issuance and redemption of Credits are subject to verification. Kate Farms may delay issuance or redemption of Credits for the purposes of investigation of full compliance with Program terms. Kate Farms may also refuse to issue or redeem Credits where Kate Farms deems, in its sole discretion, the transaction to be fraudulent, suspicious, in violation of these terms, or believes it will impose potential liability on Kate Farms, its subsidiaries, affiliates, or any of their respective officers, directors, employees, representatives, and agents. All of Kate Farms' decisions are final and binding. Membership is non-transferable and Membership purchases must be made by the member. If your Membership is revoked or otherwise cancelled, any Credits in your account will automatically expire. It is your responsibility to check or review these Program Terms and Conditions from time to time to keep informed of any changes. By joining the Program, you hereby agree to be bound by any such changed Program Terms and Conditions. Program members who decide they want to cancel their membership can use the Contact Us section of the Kate Farms website and include the email address of the Program membership they wish to cancel. Cancellation of a Program membership cancels the member's entire account and all unused Credits or other rewards will be cancelled. If the member subsequently signs up to become a member again, Kate Farms will not reinstate the previously cancelled, unused Credits or other rewards.
9. PUBLICITY.
Participation in the Program or acceptance of Credits constitutes permission to Kate Farms,its designees, and its affiliates to use any participant's first and last name, company name, user profile information, full or partial statements or testimonials, biographical information, and city and state address for any and all promotional or advertising purposes in connection with the Program, on a worldwide basis and in all forms of media without review, permission or further compensation of any amount or kind whatsoever, where permitted by law.
10. CONTENT AND USE.
The online platform and the Program also contain contents that include: designs, text, graphics, images, video, information, logos, button icons, software, audio files, computer code, and other content (collectively, "Content"). As between you and Kate Farms, all Content is the property of Kate Farms or its licensors and is protected under patent, trademark, copyright, and other laws. The compilation (meaning the collection, arrangement, and assembly) of all Content on the online platform or Program is the exclusive property of Kate Farms and is protected by patent, trademark, copyright, and other laws. Subject to these terms as well as under any licenses granted by any third party that permit you to access the online platform for the Program, Kate Farms grants you permission to access and use the online platform, together with the Program and the Content, solely for your personal, non-commercial use. This permission is revocable at any time without notice and with or without cause. Unauthorized use of the Content may violate patent, trademark, copyright, and other laws, regulations and statutes, and is strictly prohibited. You must preserve all copyright, trademarks, service marks, and other proprietary notices contained in the original Content on any copy you make of it. The registered or unregistered logos, product and service names are or may be trademarks of Kate Farms or its licensors (the "Marks"). Without Kate Farms' prior written permission, and except as solely enabled by any link as provided by Kate Farms, you agree not to display or use in any manner the Marks.
11. SIGN-IN CREDENTIALS.
Members of the Program are responsible for maintaining the confidentiality of any sign-in credentials and are fully responsible for all activities that occur through the use of them. Members agree to notify Kate Farms immediately if they suspect the confidentiality of their sign-in credentials has been compromised or they suspect unauthorized access to their account. Members agree that Kate Farms will not be liable for any loss of a member's credentials or damage arising from unauthorized use of their credentials.
12. GENERAL TERMS.
These terms, along with the Terms of Use, which are expressly incorporated herein, constitute the entire agreement between Program members and Kate Farms concerning member's use of the Program. The failure of Kate Farms to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision. If any provision of these terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these terms remain in full force and effect. A person who is not a party to these terms shall have no right to enforce or receive the benefit of any of these terms.
13. DISCLAIMER OF WARRANTIES.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (A) THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KATE FARMS EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS, AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW, OR CUSTOM, INCLUDING BUT NOT LIMITED TO WARRANTIES AS TO SERVICES OFFERED THROUGH THE USE OF THE PROGRAM, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) KATE FARMS MAKES AND GIVES NO WARRANTY THAT (i) THE PROGRAM WILL MEET YOUR REQUIREMENTS, (ii) THE PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, AND (iii) THE QUALITY OF ANY SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.
